Jaggu (Jackie Shroff) is a civil engineer. It struggling in life to find a job. His mother (Aruna Irani) has big dreams for him. During this phase of his life Jaggu meets Neena (Nagma) a rich spoilt girl. They clash, but Jaggu beats her in to sabmission. She takes in love with him. Pursues Jaggu, who altimately relents.

Neena's father Mr. Narang (Sadashiv Amrapurkar) find out about this relationship. He has his own dreams. He wants Neena to marry his business partners Mr. Bheesham's (Shafi Inamdar) son Vicky (Gulshan Grover). They hatch a plan to humiliate Jaggu's mother in order to break the relationship between the boys and girl. Mother comes to meet Narang to ask for Neena's hand for her son. And her world turns upside down. Mr. Narang is the same man who was the cause of her husband's bankruptcy and subsequent death. 

When Jaggu realizes this his crusade begins. He swears to do the same to Narang as Narang did to his father. But being a pauper himself Jaggu can't make much headway.

At this juncture, Jaggu meets Vishal (Naseeruddin Shah) & bum. Also a wheeler-dealer. Vishal is sympathetic to Jaggu's cause. Pushes him into different directions, guides him, takes him around various people and gets him started in business. He is to Jaggu what Krishna was to Arjun in the battlefield. The battle begins.

But we later learn that Vishal is not a bum. He is a man with a past. He had a girl called Annu (Varsha Usgaonkar) with whom he broke off in myster in us circumstances. He soon realizes that he has a terminal disease and is going to die. Jaggu's battle continues. He wins the battle but loses his friend Vishal.
