'Yamraaj' means God of death. It is also the name of the underworld Don, (Gulshan Grover). He uses death as his weapon to rule, to punish and to instill fear among the common man. Many aspire to acquire power and money in the shortest possible manner.

'Yamraaj' is a story of two friends Kishan (Jackie Shroff) and Birju (Mithun Chakravorty) who one day see the life style and power of Yamraaj. They decide to become 'Yamraaj'. This becomes their dream. One day they steal drugs from Yamraaj's men and accidentally go to sell it to Raja Bhaiya (Ashish Vidyarthi) who is working under Yamraaj. Raja Bhaiya is impressed by Kishan and Birju. He introduces them to Yamraaj. This becomes the first step for Kishan and BIrju towards fulfillment of dreams. Insp. Bharti (Prem Chopra) warns Kishan and Birju to forget their dreams. They don't listen. He tries to arrest them. But, fails. The life style of Kishan and Birju changes. 

Kishan falls in love with NIsha (Mink). Birju falls love with Asha (Sneha). One day on Yamraaj's instructions, Kishan kills Inspector Hamid Khan (Kiran Kumar) An honest Muslim who lives with his wife, a sick widow mother and a son, Salim who has a hole in his heart. Despite all problems he had no coplaints and was happy with his family. After killing Hamid Khan, Kishan takes shelter from police in Hamid Khan's house and realizes he has killed the only bread earner in the family. Kishan decides to leave the criminal world.

But, Birju refuses because he is obsessed by his dreams. The difference of opinion leads to conflict between the childhood friends and results in separation. Birju pursues his dream becoming Yamraaj. Kishan tries to repent for his crime by taking complete responsibility of Hamid Khan's family without letting them know that he is Hamid Khan's killer.

But for how long will Kishan be able to hide truth? Will he be able to repent his crime?

Is Birju successful in fulfilling his deams? Does he become 'Yamraaj'?
