RAJAJI is the story of a village boy Raja (GOVINDA) who doesn't want to work but wants to live on his father's earnings. His father Shivnath (KADER KHAN) is a man of principles. But his mother Parvati (ARUNA IRANI) always favours him in whatsoever he does. His maternal uncle Shadilal (SATISH KAUSHIK) holds a very big hand in spoiling him. Rajaji's life changes after he comes across one of his village friend Kalwa (MUSHTAQ KHAN) who is staying in Mumbai. Raja is fascinated by him and wants to go to Mumbai to work.

After going to Mumbai, he once again meets Kalwa who has become very rich by marrying a rich man's daughter. Raja too wants to do the same thing and he starts following a girl Payal (RAVEENA TANDON) who he thinks is a multi-millionaire. But eventually after the marriage he realises that she is a poor gardener's daughter.

A time comes when he leaves her and after leaving her he realises her importance in his life. After this he goes back to her but by now she has genuinely become rich and her father Pratap Singh (MOHAN JOSHI) rejects him & how he wins them back is the climax.
