Sunder Srivastava (Shah Rukh Khan) is a young graduate whose main ambition in life is to fulfill his father's dream and start a much needed school on his small half-acre property in his village.

Paucity of funds made Sunder's scholastic intentions difficult to execute.

Sunder's childhood friend Prem (Avinash), a seasoned con-man who operated in Bombay, convinced the naive, gullible and trusting Sunder to mortgage his land to the village zamindar for Rs. 15,000/- out of which Rs. 10,000/- would be spent for Sunder's return fare to Dubai, where through Prem's alleged connections he would get a handsomely paying teacher's job that would give Sunder enough money to start his own proper well-equipped school in the village when he returned after two years.

Sunder on arrival in Bombay, sees no sign of Prem, who had promised to receive him at the station and thus gets unwittingly involved with local con-man and pickpockets who rob him of all his money as well as his luggage. To add to it, when Sunder does manage to get the lodge, where he hoped to find Prem is shocked to read a letter to him left by Prem apologetically informing Sunder that he used the Rs. 10,000/- to get himself to Dubai instead and would one day repay him.

Saddened and lost and without any money in a strange big city where he know one Sunder cursed his luck and wondering what to do wandered into what he thought was a garden but turned out to be an old Christian Cemetry.

Sitting on an old grave Sunder gave vent to his frustrations and crying his woes, struck the tombstone with his fist in helplessness and agony but immediately, as was typical of his good upbringing aplogised to the deceased in the grave.

This reaction, much to his astonishment, brought him in contact with a ghost of Amar Kumar alias Macro (Naseeruddin Shah) who was killed and thrown into the grave 20 years earlier.

Macro explained to a frightened Sunder that he was the friendly ghost of notorious Don involved in big time crimes, who one day on the behest of his true love Savitri (MalvikaTiwari) firmly resolved to give up all his criminal activities and ill-gotten gains and become an honest citizen, and a good husband to Savitri.
Macro's love inspired decision and attempts were however thwarted by his protege and right hand man Kunta (TinnuAnand), an avaricious crook who had shot Macro a day after his marriage to Savitri had been consummated, and had taken over all Macro's criminal & illegal assets.

Reluctantly accepting Macro's story mainly because of Macro's promise to reciprocate by getting him a job and a place to stay, Sunder agrees to go along with the ghost.
