The story of 'Phool Aur Kaante' is an emotional story where at times there is no love and at times love blossoms at first sight. Ajay (Ajay Devgan) is loved by one and all his college. When he sees Pooja (Madho Raghunath) he falls in love with her.

Rocky (Arif Khan) is the son of Ex-Minister and Chairman of the college Mr. Tiwari (Suresh Chatwal). Rocky deals with and sells drugs and also goes after girls. He is also after Pooja but Pooja slaps him and he wants to take revenge. Rocky hires some bad characters who burn Rooja in the Examination Hall. Ajay comes in the nick of time and saves Pooja. He then goes after Rocky and is about to kill him when he sees Nageshwar (Amrish Puri) and lets him go scot free but his unfinished job is completed by Nageshwar.

Ajay's friends enquire as to why he let Rocky go scot free and he informs them that Nageshwar is a murderer who had killed his Mother. Tiwari wants to take revenge of his son's death and he joins hands with Shankara (Raza Murad). In the meanwhile Ajay and Pooja get married and give birth to a beautiful baby boy (Gopal). Both are in love with the child and are in a world of their own when they receive another jolt when somebody kidnaps their child.

Did Nageshwar take the child? Did Shankara and Tiwari kidnap the child? Why does Ajay hate Nageshwar? Did Shankara & Tiwari kill Nageshwar?
